These terms govern the use of piercer.io, an electronic service provided by [company name - to be completed], [registered address - to be completed] (the "Provider").
1. Definitions
- Service: the piercer.io app for running a studio (including bookings, consent forms, client records, messages, inventory), used in a web browser.
- Studio: a business that opens an account for its professional activity and enters into the contract for the Service with the Provider.
- User: a person using a Studio's account (the owner or a team member invited by the Studio).
- Studio client: a person using a Studio's public pages (booking, consent signing, messages). Studio clients are not parties to this contract.
- Plan: the scope and price of the Service, described on the piercer.io pricing page.
2. General
- The Service is intended for businesses and is provided on a business-to-business basis.
- By creating an account, the Studio accepts these terms and the privacy policy. The contract is concluded when the account is created, for an indefinite period.
- The Provider does not give legal, medical or tax advice. Templates and suggestions in the Service are aids only.
3. Technical requirements
Using the Service requires a device with internet access, an up-to-date web browser with JavaScript and the cookies needed for signing in enabled, and an active e-mail address. Supplying unlawful content is prohibited.
4. Account
- The Studio provides accurate information and keeps passwords confidential. We recommend turning on two-step verification.
- The account owner is responsible for the team members they invite and the permissions they grant them.
- The Provider may block an account in case of a breach of these terms or a threat to the security of the Service, and will inform the Studio.
5. Plans and payments
- The free plan has the limits described on the pricing page. Paid plans are billed in advance, for the billing period shown on the pricing page, through Stripe.
- VAT is charged in accordance with applicable law. The Studio receives an invoice for each paid period.
- If a payment fails, the Provider may, after notice, move the Studio to the free plan or limit access to paid features. The Studio's data is not deleted.
- The Provider announces price changes by e-mail at least 30 days in advance. The new price applies from the next billing period, and the Studio may terminate the contract before then.
6. The Studio's obligations
- The Studio is the controller of its clients' data and is responsible for the legal basis for processing it, including health data in consent forms, and for informing its clients as required by the GDPR.
- The Studio is responsible for the content of its consent forms and client information. We recommend having these texts reviewed by a lawyer.
- The Studio complies with the sanitary and industry rules that apply to its activity.
- Client deposits are collected through Stripe Connect and are also subject to Stripe's terms.
7. Data processing
For the Studio's client data, the Provider acts as a processor, only on the Studio's instructions. The parties conclude a data processing agreement (Article 28 GDPR), which the Provider provides on request: [contact e-mail - to be completed]. Details are in the privacy policy.
8. Availability and changes to the Service
- The Provider makes reasonable efforts to keep the Service running without interruption but does not guarantee constant availability. Where possible, maintenance is scheduled outside studio working hours.
- The Provider may develop and change the Service's features. If a paid plan's features are materially reduced during a billing period, the Studio may terminate the contract with immediate effect.
9. Liability
- The Provider is liable for damage caused to the Studio intentionally or through gross negligence under general rules.
- Otherwise, the Provider's liability is limited to actual loss and to the fees paid by the Studio in the 12 months before the event. The Provider is not liable for lost profits.
- The Provider is not liable for third-party services (such as Stripe or Instagram) or for content entered by the Studio.
10. Rights to content
The Studio keeps all rights to its data and content. The Provider grants the Studio a non-exclusive licence to use the Service for the duration of the contract. The software, design and marks of piercer.io belong to the Provider.
11. Termination
- The Studio may cancel a paid plan at any time in its billing settings, and close its account in Settings, Studio data, or by writing to [contact e-mail - to be completed]. The studio and its data are then deleted 30 days after the request, except signed consent forms, which are kept locked for [5 years - to be confirmed] after the deletion, then deleted (only the Provider can access them in the meantime, to answer a legal request, and each access is logged). The owner can cancel the deletion until the 30 days are over. Fees for a started billing period are not refunded unless the law provides otherwise.
- The Provider may terminate the contract with 30 days' notice, or with immediate effect in case of a serious breach of these terms.
- The Studio can download a copy of its data at any time in Settings, Studio data (a ZIP with JSON files and PDFs), including during the 30 days before deletion. The data is then deleted as described in the privacy policy.
12. Complaints
Complaints about the Service can be sent to [contact e-mail - to be completed]. The Provider replies within 14 days.
13. Changes to these terms
The Provider informs the Studio of changes to these terms by e-mail at least 14 days before they take effect. A Studio that does not accept the changes may terminate the contract before that date.
14. Final provisions
- Governing law and competent court: [governing law and court - to be completed].
- These terms are available in Polish, English and French. In case of discrepancy, the Polish version prevails.
